Terms of service
The agreement under which DRAXEN LLC provides this website and the DRAXEN software.
Last updated: 2 November 2026
1. Parties
These terms bind you, the business opening an account, and DRAXEN LLC ("DRAXEN", "we"). Our identity and address are on the company information page.
DRAXEN LLC is a software company. It is not a bank, payment institution, money transmitter or money services business, and nothing in these terms is an offer of financial services.
2. What the software does
DRAXEN consists of a hosted checkout, a merchant CRM, a dashboard, an API, webhooks and software development kits (the "software"). The software collects the details of each order, routes the payment to a regulated third-party payment provider or acquiring partner (the "payment partner"), records the result and displays it.
Payment processing, currency conversion, custody of funds, settlement, payouts and any reserve are performed by the payment partner under its own terms, which you accept directly with it when your account there is opened. DRAXEN never holds, transmits or settles funds, and the figures shown in the dashboard are a record of what the payment partner has done, not an instruction to move money.
3. Your account
You must give accurate information when you open an account and keep it accurate. You are responsible for everything done under your account and for keeping API keys, passwords and webhook secrets confidential. Report suspected unauthorised use to contact@draxen.club without delay.
4. Platform fees
The platform rate for the use of the software is the one published on the pricing page at the time of each transaction, or the rate agreed with you in writing. It is invoiced by DRAXEN LLC. Processing fees, reserves, holds, chargeback fees and payout timing are applied by the payment partner under its own terms and are not set by DRAXEN.
5. Merchant CRM and your customers' data
The merchant CRM builds customer records from the payments you accept and from the notes and tasks you add. We process that data on your behalf and on your instructions, as your processor. You remain responsible for your customers' data: for having a lawful basis to collect it, for keeping it accurate, for informing your customers and for answering their requests. You can export your records at any time.
6. Your obligations
- Use the software only for lawful business and within the acceptable use policy.
- Describe and price what you sell accurately and honour your refund terms.
- Answer the payment partner's dispute and evidence requests by the deadlines shown in the dashboard.
- Comply with the tax, consumer, sanctions and data protection laws that apply to your business.
7. Term and closure
There is no minimum term. You may close your account whenever you wish. We may suspend or close an account for breach of these terms, at the request of the payment partner or where the law requires it, and will tell you the reason unless prevented from doing so. Any funds still owed to you after closure are paid by the payment partner under its own terms, once its reserve period and open disputes have ended.
8. Availability and changes
We work to keep the software available at all times but do not guarantee uninterrupted service unless a service level agreement is part of your plan. We may change or withdraw features with reasonable notice.
9. Liability
To the extent the law allows, DRAXEN LLC is not liable for indirect or consequential loss, lost profit or lost data, and our total liability for any claim under these terms is limited to the platform fees you paid us in the twelve months before the claim arose. Nothing here excludes liability that cannot be excluded by law.
10. Governing law and courts
These terms are governed by the laws of the State of Colorado. The courts located in Colorado have exclusive jurisdiction over any dispute arising from them.
